FRAGRANCE MATERIALS ASSOCIATION OF THE UNITED STATES BY-LAWS

ARTICLE I
Membership

Section 1. Membership.
Membership in the Corporation shall be of two types: Active and Associate.

(a) Active Membership shall be limited to those persons, corporations and firms engaged in the manufacture and sale of fragrances and fragrance ingredients in the United States, at other than retail. For purposes of this Section, "manufacture" shall include blending.

(b) Associate Membership shall include persons, firms and corporations engaged in the United States in businesses associated with fragrance ingredients who do not otherwise qualify for active membership and who are able to assist in promoting and carrying out the purposes of the Association.

(c) A firm shall be appropriately classified in the highest category for which they are eligible.

(d) A division of a corporation may be admitted as a member in accordance with the requirements of this Section in the discretion and upon the vote of the Board of Directors as provided in Section 2 of this Article.

Section 2. Admission to Membership.
Persons, firms, corporations and divisions of corporations meeting the qualifications for membership set forth herein, and having been engaged in the required business for at least one year, and having been sponsored by two Active non-related members, upon making written applications, may be admitted to membership only upon the affirmative vote of a majority of the Board of Directors.

Section 3. Resignation of Members.
Any member may resign from the Association by giving written notice thereof either to the President or Secretary of the Association, which notice shall be presented by the President or Secretary to the Board of Directors at its first meeting following the receipt of such notice. A resignation of a member shall take effect upon receipt by the President or Secretary of such written notice, unless such member shall, at the time, be indebted to the Association.

Section 4. Suspension and Expulsion.
Any member may be suspended for a period of time or expelled from membership by the affirmative vote of a majority of the Active members at any meeting thereof, the notice for which shall specify as one of its purposes, consideration of such suspension or expulsion.

In addition, the membership of any member may be terminated by the Board of Directors if such member shall be in arrears in paying its annual dues or any increase therein for a period of time exceeding 60 days following the determination thereof.

As a condition of continuing membership in the Association, all members are required to subscribe to and comply with the guidelines on ingredient use set forth in Annex 2 of the International Fragrance Association (IFRA) Code of Practice. The Board of Directors, upon finding that a member has not complied with the aforesaid guidelines, may, in its discretion, terminate the membership of such member or take other appropriate action.
